Terms of Service

Please review these terms carefully before using Loophole.

These Terms of Service ("Terms") govern your access to and use of the Loophole desktop application, website at www.getloophole.com, and related services (collectively, the "Service"), provided by Loophole (owned and operated by [Your Legal Entity Name]) ("Loophole," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1) Who may use Loophole

  • You must be at least 13 years old (or the age of digital consent in your country) to use the Service. If you are under 18, you must have permission from a parent or legal guardian.

  • You're entering these Terms on behalf of yourself or the organization you represent. If you use the Service for a business, you represent you have authority to bind the business, and "you" means that business.

2) The Service

Loophole is an AI assistant that can read your screen, answer instantly, and take actions to get things done. Certain features may interact with content on your device or in connected third-party accounts you authorize (e.g., email or calendar tools), at your direction.

Important processing note

  • Screenshots are never saved.

  • We do not log any screen content.

  • User chats (the queries you submit) may be logged for debugging.

  • Meeting transcripts may be logged to provide and improve transcript features but are not used for AI training.

3) Accounts and security

  • You must create an account to use Loophole. Keep your credentials confidential and notify us immediately at info@getloophole.com of any unauthorized use.

  • You are responsible for all activity that occurs under your account.

4) Plans, pricing, and payments

  • Loophole offers a free plan and a Pro plan at $15/month (plus applicable taxes).

  • Subscriptions auto-renew until canceled. You can cancel anytime; access continues through the end of the current billing period. We do not offer refunds or credits for partial periods.

  • Payments are processed by a third-party payment processor. We don't store full payment card details.

5) Your content; permissions

  • Your Inputs. You own the content you submit to the Service (e.g., prompts, files, meeting audio you choose to transcribe). You grant Loophole a worldwide, non-exclusive, royalty-free license to host, process, and display your Inputs and generated Outputs solely to provide the Service to you and to maintain, secure, and debug the Service.

  • Outputs. Subject to these Terms and applicable law, you own your Outputs as between you and Loophole. Third-party model providers may have their own terms that apply to Outputs; you are responsible for reviewing them.

  • You're responsible for your Inputs (including ensuring you have the rights to use them) and for how you use the Outputs.

6) Acceptable use

You may not use the Service to:

  • Violate any law or rights of others; infringe IP rights; or collect, process, or disclose personal data unlawfully.

  • Create or distribute malware, spyware, or code intended to harm or misappropriate data.

  • Generate or disseminate content that is illegal, exploitative, or that facilitates violence, self-harm, or harassment.

  • Engage in spam, bulk unsolicited communications, or platform abuse.

  • Create deceptive "deepfakes," impersonations, or biometric inference without clear, lawful consent.

  • Bypass access controls, scrape at scale, or overload/interfere with the Service.

  • Use the Service for high-risk or safety-critical purposes (e.g., medical, legal, financial, or emergency decision-making) without human review by qualified professionals.

7) Third-party services and AI providers

Loophole may route some requests to third-party AI providers you select or we use to deliver functionality, including OpenAI, XAI, and Anthropic. Your use of third-party services is subject to their terms and privacy practices. We're not responsible for third-party services.

8) Software, updates, and feedback

  • The desktop app may auto-update to improve performance, security, or features.

  • You may provide feedback; we can use it without restriction or compensation.

  • Loophole includes open-source components; their licenses apply.

9) Intellectual property; service restrictions

The Service (excluding your Inputs/Outputs) is owned by Loophole and its licensors and is protected by IP laws. You may not copy, modify, reverse engineer, or create derivative works of the Service except as permitted by law.

10) Disclaimers

The Service and all Outputs are provided "as is" and "as available." AI is probabilistic and may produce inaccurate or offensive content. Loophole does not provide professional advice (medical, legal, financial, or otherwise). You are responsible for evaluating Outputs and using human judgment.

11) Limitation of liability

To the maximum extent permitted by law:

  • Indirect damages excluded. Loophole will not be liable for indirect, incidental, special, consequential, or punitive damages.

  • Cap. Loophole's total liability for all claims in any 12-month period is limited to the greater of (i) amounts you paid to Loophole for the Service in that period or (ii) USD $100.

12) Indemnity

You will defend and indemnify Loophole against claims, damages, liabilities, and expenses arising from (a) your use of the Service in violation of these Terms or law; (b) your Inputs/Outputs; or (c) your combination of the Service with third-party products or services.

13) Termination and suspension

We may suspend or terminate your access if you violate these Terms, risk harm to the Service or others, or if required by law. You may stop using the Service at any time. Certain sections survive termination (e.g., 5–13).

14) Export, sanctions, and government use

You must comply with applicable export, re-export, and sanctions laws. The Service is provided with restricted rights; government users' rights are limited as provided in applicable regulations.

15) Changes to these Terms

We may update these Terms from time to time. If changes are material, we'll provide reasonable notice (e.g., in-app notice or email). The revised Terms will be effective on posting. Your continued use means you accept the changes.

16) Governing law and venue

These Terms are governed by the laws of Delaware, USA, without regard to conflict-of-laws rules. The parties consent to exclusive jurisdiction and venue in the state or federal courts located in Delaware, USA.
